Tamini buys control of transformer manufacturer TES

Italy: The owner of Tamini Transformatori, Terna Plus, and TES’ shareholders Xenon Private Equity, Riccardo Reboldi and Giorgio Gussago have executed an agreement on the entrepreneurial and corporate integration between corporate groups of Tamini and TES.

 


Italy: The owner of Tamini Transformatori, Terna Plus, and TES’ shareholders Xenon Private Equity, Riccardo Reboldi and Giorgio Gussago have executed an agreement on the entrepreneurial and corporate integration between corporate groups of Tamini and TES.

TES Transformer Electrico Service and Tamini Transformatori are Italian companies engaged in the design and manufacture of industrial, power and special transformers.

According to the agreement, the integration of TES in Tamini will be carried through the incorporation of a new company Holdco, fully owned by TES’ Shareholders, which will contribute the TES’ entire corporate capital in favour of Tamini against of the capital increase.

Consequently, Terna Plus will hold approximately a 70% stake of Tamini’s corporate capital while Holdco (TES’ Shareholders) will hold a 30% stake.

The transaction will allow TES and Tamini to strengthen their global presence in the field of the industrial transformers, energy transformers and after sales assistance.
